Livspace was focused on strengthening its end-to-end home interiors offerings and deepening control over its supply chain, particularly in the brand having its own manufacturing. The company was evaluating opportunities to increase home improvement offerings, enhance product quality, as it scaled operations across key Indian markets.
Abby, with its established capabilities in architectural lighting and manufacturing expertise, presented a strategic fit with Livspace’s long-term vision. The objective of the transaction was to integrate Abby’s operational excellence into Livspace’s luxury brand Casantro, enabling better cost control, improved execution, and more seamless customer experience.

Pareto assisted Livspace in assessing strategic fit, commercial rationale, and integration considerations while also managing discussions with Abby’s shareholders. The transaction required careful alignment on valuation expectations & transaction structure given that the transaction was a combination of shares and cash.
Pareto also supported Livspace through a detailed due diligence process covering financial & legal aspects, coordinating closely with multiple advisors and stakeholders to ensure smooth and efficient execution and closure. The acquisition strengthened Livspace’s supply-side capabilities and positioned the company to drive greater scalability, margin improvement, and operational consistency across its expanding footprint.
